1. Introduction

Welcome to our privacy policy. This is our Company plan of action when it comes to protecting your privacy. We respect your privacy and take the protection of personal information very seriously. The purpose of this policy is to describe the way that we

collect, store, use, and protect information that can be associated with you or another specific natural or juristic person and can be used to identify you or that person (personal information).

The purpose of this policy is to describe the way that we handle your personal information.

This policy applies to you if you are:

  • a visitor to our website; or
  • a customer who has ordered or requested the goods or services that we provide.
  • a ChargePocket account holder; or
  • a subscriber, applicant or prospective subscriber to the GridCars Lifestyle Home Charging Subscription.

This policy applies to you under certain circumstances.

3. Personal Information

Personal information includes:

  • Payment and transaction information: such as billing information, transaction references, payment status and other information necessary to process and

reconcile payments.

  • vehicle and charging information: such as vehicle registration details, vehicle make and model, charging station usage, charging location, charging session

dates and times, duration and energy consumption;

  • Home-charging and technical information: such as Home Charger make, model, serial number and identifier; charger connectivity and telemetry; charging-session data; MID-certified electricity-meter information; verified electricity consumption; energy source information, including solar-charging information where available; and records of charging-data verification;
  • Subscription, rewards and voucher information: such as subscription status, Subscription Start Date, billing and payment status, ChargePocket balance information relevant to the Subscription, Charging Rewards earned, adjustments, reversals, Voucher issuance, Voucher redemption and related public-charging transactions;
  • fraud-prevention and system-security information: such as device, system, account and charging-data records used to identify suspected fraud, manipulation, misuse or unauthorized activity.
  • certain information that we collect automatically when you visit our website;
  • certain information collected on onboarding as a client (see below);
  • certain information collected as is necessary for the provision of the services and/or goods (see below);
  • certain information collected on drafting of contracts for purposes of delivery of the services and/or goods; and

  • permanently de-identified information that does not relate or cannot be traced back to you specifically;
  • non-personal statistical information collected and compiled by us; and
  • information that you have provided voluntarily in an open, public environment or forum including any blog, chat room, community, classifieds, or discussion board (because the information has been disclosed in a public forum, it is no longer confidential and does not constitute personal information subject to

protection under this policy).

Personal information includes information we collect (i) automatically when you visit our website, (ii) on registration, (iii) on submission, and (iv) from you voluntarily. It excludes (i) anonymous, (ii) de-identified, (iii) non-personal statistical, and (iv) public information.

4.1. Acceptance Required

You must accept all the terms of this policy when you order our goods or request our services. If you do not agree with anything in this policy, then you may not order our goods or request our services.

You may not order our goods or request our services if you do not accept this policy.

4.2. Legal Capacity

You may not access our website or order our goods or request our services if you are younger than 18 years old or do not have legal capacity to conclude legally binding contracts.

4.3. Deemed Acceptance

By accepting this policy, you are deemed to have read, understood, accepted, and agreed to be bound by all of its terms.

6. Collection

6.1. On Registration

Once you register as a client, you will no longer be anonymous to us. This personal information will include:

  • your name and surname;
  • your email address;
  • your telephone number;
  • your company name, company registration number, and VAT number;
  • your postal address or street address.

We will use this personal information to fulfil your account, provide additional services and information to you as we reasonably think appropriate, and for any other purposes set out in this policy.

We collect certain information on registration when you register on our website.

6.2. On Order or Request

When you order our goods or request our services from us, you may be asked to provide. us with additional information necessary to process your request or transaction. Where applicable, payments may be processed through third party payment service providers on our behalf.

  • goods or services purposes – such as collecting orders or requests for and providing our goods or services;
  • marketing purposes – such as pursuing lawful related marketing activities;
  • business purposes – such as internal audit, accounting, business planning, and joint ventures, disposals of business, or other proposed and actual transactions; and
  • legal purposes – such as handling claims, complying with regulations, or pursuing good governance.

Where you apply for or use the GridCars Lifestyle Home Charging Subscription, we may process your personal information and Home Charger, meter, charging and account information to:

  • assess your eligibility for, activate, administer, suspend, reactivate or cancel the Subscription;
  • register and verify your Home Charger and applicable MID-certified electricity meter;
  • verify Qualifying Home Charging using charger telemetry, meter data and associated systems;
  • calculate, allocate, query, adjust, withhold, reverse, process and issue Charging Rewards and Vouchers;
  • administer the use and redemption of Vouchers for eligible public-charging services;
  • process Subscription Fees and related ChargePocket transactions;
  • detect, investigate and prevent fraud, data manipulation, abuse, misuse and security incidents;
  • provide customer support and communicate with you about the Subscription; and
  • comply with applicable legal, regulatory, audit, accounting and record-keeping requirements.

6.8. Lawful grounds for processing

We process personal information only where a lawful ground under POPIA applies. Depending on the processing activity, this may include that processing is necessary to conclude or perform a contract with you; to comply with a legal obligation; to protect a legitimate interest of you, GridCars or a third party; or, where required, with your consent.

Where information is required to provide the GridCars Lifestyle Home Charging Subscription, including relevant account, payment, Home Charger, meter and charging-data information, its provision is mandatory for participation in the Subscription. If you do not provide, or we cannot verify, that information, we may be unable to activate or administer the Subscription, calculate Charging Rewards or issue Vouchers.

7. Use

7.1. Our Obligations

We may use your personal information to fulfil our obligations to you, including to provide our goods and services, process and administer payments and transactions, verify and reconcile payments, and provide related customer support.

7.2. Messages and Updates

We may send you service, operational, security, billing, account and subscription-related communications where necessary to provide our goods and services or manage our relationship with you.

We will send direct marketing communications by electronic means only where permitted by applicable law. Where your opt-in consent is required, we will obtain it before sending those communications. You may opt out of direct marketing at any time by using the unsubscribe mechanism in the message or by contacting us using the details in clause 15.

We may use your information to send you administrative messages and email updates to you regarding the website and for marketing purposes where lawful.

7.3. Targeted Content

While you are logged into the website, we may display targeted adverts and other

relevant information based on your personal information. In a completely automated process, computers process the personal information and match it to adverts or related information. We never share personal information with any advertiser, unless you

specifically provide us with your consent to do so. Advertisers receive a record of the total number of impressions and clicks for each advert. They do not receive any personal information. If you click on an advert, we may send a referring URL to the

advertiser’s website identifying that a customer is visiting from the website. We do not send personal information to advertisers with the referring URL. Once you are on the advertiser’s website however, the advertiser is able to collect your personal information.

We may use your information for targeted content in certain, specified instances.

8. Disclosure

8.1. Sharing

We may share your personal information with:

  • other divisions or companies within the group of companies to which we belong so as to provide joint content and services like registration, for transactions and customer support, to help detect and prevent potentially illegal acts and violations of our policies, and to guide decisions about our products, services, and communications (they will only use this information to send you marketing communications if you have requested their goods or services);
  • an affiliate, in which case we will seek to require the affiliates to honour this privacy policy;
  • our goods or services providers under contract who help provide certain goods or services or help with parts of our business operations, including fraud

prevention, bill collection, marketing and technology services (our contracts dictate that these goods or services providers only use your information in

connection with the goods or services they supply or services they perform for us and not for their own benefit);

payment service providers and payment processors, including Peach Payments, where necessary to facilitate, process, authorise, verify, reconcile or administer payments and transactions;

  • credit bureaus to report account information, as permitted by law;
  • providers of Home Charger, charger-connectivity, telemetry, meter-data, cloud-hosting, software, technical-support and cybersecurity services, where required to operate and support the GridCars Lifestyle Home Charging Subscription;
  • approved charging-equipment suppliers, installers, vehicle manufacturers or charging-network partners, but only where necessary to verify eligibility, investigate a technical issue, provide support or deliver an associated service;
  • public-charging network operators and related service providers, where necessary to administer the redemption of Charging Rewards or Vouchers;
  • professional advisers, auditors, insurers and debt-collection service providers, where reasonably necessary and lawful;
  • banking partners as required by credit card association rules for inclusion on their list of terminated merchants (in the event that you utilise the services to receive payments and you meet their criteria); and
  • other third parties who provide us with relevant services where appropriate.

We may share your personal information with third parties for the purposes of fulfilling our obligations to you among other purposes.

8.2. Regulators

We may disclose your personal information as required by law or governmental audit.

8.3. Law Enforcement

We may disclose personal information if required:

  • by a subpoena or court order;
  • to comply with any law;
  • to protect the safety of any individual or the general public; and
  • to prevent violation of our customer relationship terms.

We may disclose personal information to third parties if required for legal reasons.

8.4. No Selling

We will not sell personal information. No personal information will be disclosed to anyone except as provided in this privacy policy.

8.5. Marketing Purposes

We may disclose aggregate statistics (information about the customer population in general terms) about the personal information to advertisers or business partners.

8.6. Employees

We may need to disclose personal information to our employees that require the personal information to do their jobs. These include our responsible management, human resources, accounting, audit, compliance, information technology, or other personnel.

8.7. Change of Ownership

If we undergo a change in ownership, or a merger with, acquisition by, or sale of assets to, another entity, we may assign our rights to the personal information we process to a successor, purchaser, or separate entity. We will disclose the transfer on the website. If you are concerned about your personal information migrating to a new owner, you may request us to delete your personal information.

We take the security of personal information very seriously and always do our best to comply with applicable data protection laws. Our hosting company will host our

website in a secure server environment that uses a firewall and other advanced security measures to prevent interference or access from outside intruders. We authorize access to personal information only for those employees who require it to fulfil their job responsibilities. We implement disaster recover procedures where appropriate.

11. Retention

We retain personal information only for as long as reasonably necessary to fulfil the purposes described in this policy, including to administer your account and Subscription, process payments and Charging Rewards, resolve disputes, prevent fraud, meet audit and accounting requirements, and comply with legal or regulatory retention obligations.

The retention period may therefore depend on the type of information, the service provided, applicable legal requirements, and whether the information is required for a claim, dispute, investigation or enforcement process. When personal information is no longer required, we will securely delete, destroy or de-identify it, unless retention is required or permitted by law.

12. Transfer to Another Country

GridCars may transfer or permit access to personal information outside the Republic of South Africa where necessary for the provision of its goods and services, the operation of its business or the use of third-party service providers.

Any cross-border transfer of personal information will be undertaken in accordance

with applicable data protection laws, including section 72 of POPIA, and will only take place where the requirements for such transfer are satisfied, including where the

recipient provides an adequate level of protection or where another lawful basis for the transfer applies.

13. Your rights

Subject to POPIA and applicable law, you may request confirmation of whether we hold personal information about you and request access to that information. You may also request correction, updating, deletion, destruction or de-identification of personal information where appropriate.

You may object to the processing of your personal information in certain circumstances. Where processing is based on your consent, you may withdraw that consent at any time; this will not affect processing lawfully carried out before withdrawal or processing that is otherwise permitted by law.
